Minara Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the Minara website, mobile applications, integrations, and related services (collectively, the “Services”). By using the Services, a user agrees to these Terms.
1. Eligibility and accounts
A user may use the Services only if the user can legally form a binding agreement or is otherwise authorized to do so under applicable law. If the user is using the Services on behalf of an organization, the user represents that the user has authority to bind that organization to these Terms.
Users are responsible for maintaining the confidentiality of their account credentials and for all activity that occurs under their accounts.
2. Description of the Services
Minara is a calendar-native event discovery and coordination platform. The Services may allow users to:
• discover public, campus, nonprofit, organization, or other events;
• connect personal calendars or third-party calendar providers;
• create, manage, or publish events;
• manage organizations, members, channels, and permissions;
• upload schedules, flyers, screenshots, or other content;
• receive recommendations, reminders, or analytics.
Some features may be experimental, limited, or available only to certain users, organizations, or partners.
3. Privacy
Use of the Services is also subject to the Minara Privacy Policy. By using the Services, the user acknowledges that Minara may collect, use, and share information as described in that policy.
4. User content
Users may submit, upload, sync, post, or otherwise make available content through the Services, including event information, organization details, calendar data, images, flyers, descriptions, and other materials (“User Content”).
The user retains ownership of User Content, subject to the rights granted in these Terms.
The user grants Minara a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, format, display, distribute, and otherwise use User Content as necessary to:
• operate and provide the Services;
• display events according to selected visibility settings;
• support discovery, search, recommendations, and calendar synchronization;
• improve product functionality, moderation, and analytics;
• comply with law and enforce these Terms.
If a user marks content as public or shares it into a public channel, the user authorizes Minara to display that content to other users and to surface it in discovery experiences.
5. User responsibilities
Users agree not to:
• violate any law or regulation;
• impersonate another person or entity;
• upload malicious code or interfere with the Services;
• access or use another user’s private calendar or content without authorization;
• scrape, harvest, or collect personal data from the Services in unauthorized ways;
• publish false, deceptive, harmful, infringing, or unlawful event information;
• use the Services to spam, stalk, harass, or endanger others;
• misuse integrations or access tokens;
• attempt to circumvent permissions, visibility settings, or security controls.
Users are responsible for ensuring that they have all rights, permissions, and consents needed to upload or share User Content, invite members, expose events, or connect third-party accounts.
6. Organization accounts and admin controls
If the Services allow organizations, channels, or teams, organization owners and admins may have control over members, content, permissions, integrations, and settings within their environments.
A user who joins an organization acknowledges that organization administrators may be able to:
• invite or remove members;
• assign roles and permissions;
• change event or calendar visibility within the organization;
• access organization-managed content and analytics;
• control which calendars or events are shared to channels or public views.
Minara is not responsible for internal organizational disputes about authority, access, or content ownership.
7. Integrations and third-party services
The Services may integrate with third-party products such as Google Calendar. Use of third-party services is also subject to the terms and privacy policies of those providers.
Minara may suspend or limit integrations if necessary to comply with provider rules, protect users, or maintain service integrity.
8. Public event discovery and visibility
Minara may surface event information based on user settings, organization settings, campus affiliation, channels, location, subscriptions, or relevance systems.
Users and organizations are responsible for reviewing visibility settings before publishing content. Minara may provide labels such as private, internal, channel-shared, campus-visible, or public to help users understand how content will be shown.
Minara may remove, limit, or demote content that appears deceptive, unsafe, duplicative, irrelevant, unlawful, or harmful to the platform ecosystem.
9. Suspension and termination
Minara may suspend, restrict, or terminate access to the Services if:
• a user violates these Terms;
• use creates security, legal, or operational risk;
• required by law or by a third-party integration provider;
• the account appears inactive, fraudulent, abusive, or unauthorized.
A user may stop using the Services at any time. Organization-managed data may remain accessible to the organization even if an individual member leaves, subject to organizational controls and applicable law.
10. Intellectual property
The Services, including software, design, branding, interfaces, and non-user-generated content, are owned by Minara or its licensors and are protected by applicable intellectual property laws.
Except for the limited right to use the Services under these Terms, no rights are granted to users.
11. Feedback
If a user provides suggestions, feedback, or ideas, Minara may use them without restriction or compensation, unless prohibited by applicable law.
12. Disclaimers
The Services are provided on an “as is” and “as available” basis to the maximum extent permitted by law. Minara does not guarantee that:
• the Services will always be available, uninterrupted, or error-free;
• all event information will be accurate, complete, or current;
• all reminders, sync operations, or notifications will occur successfully;
• discovery results will always be relevant or exhaustive.
Event listings may come from users, organizations, integrations, or public sources, and Minara cannot guarantee the truthfulness, safety, legality, or quality of every event or opportunity listed.
13. Limitation of liability
To the maximum extent permitted by law, Minara and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or opportunities arising from or related to the Services.
14. Indemnification
To the extent permitted by law, a user agrees to indemnify and hold harmless Minara and its affiliates, officers, employees, contractors, and licensors from claims, liabilities, damages, losses, and expenses arising out of:
• the user’s use of the Services;
• the user’s User Content;
• the user’s violation of these Terms;
• the user’s violation of another person’s rights;
• the user’s misuse of third-party integrations.
15. Governing law and disputes
These Terms are governed by the laws of Illinois and of the United States of America, without regard to conflict of laws principles.
Any dispute, claim, or controversy arising from these Terms or the Services will be resolved in the courts located in the relevant state, unless applicable law requires otherwise.
16. Changes to the Terms
Minara may update these Terms from time to time. If material changes are made, Minara may provide notice through the Services or by other reasonable means. Continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms.
